Deepdines provides technology, coordination, reservations, and community-building services. Deepdines does not own, operate, manage, supervise, or control restaurants, venues, transportation providers, or third-party businesses involved in events.

Deepdines seeks to foster positive and meaningful experiences by thoughtfully organizing groups using information provided by users and other factors. However, Deepdines does not guarantee:

• Compatibility between participants;
• Friendships or relationships;
• Romantic outcomes;
• Business opportunities;
• Attendance by particular individuals;
• Satisfaction with any event or experience;
• The identity, conduct, intentions, or safety of any participant.

Deepdines serves solely as a platform that facilitates opportunities for social interaction.

3. Eligibility and Intended Audience

You must be at least eighteen (18) years old to access or use the Service.

Deepdines is currently intended primarily for adults between the ages of 22 and 35, although Deepdines reserves the right to modify or expand its intended audience at any time.

By using the Service, you represent and warrant that:

• You meet the minimum age requirement;
• You have not previously been removed or banned from the Service;
• You are legally permitted to use the Service;
• All information you provide is truthful, current, and complete.

Users are expected to:

Deepdines reserves the right to determine, in its sole discretion, whether conduct is inconsistent with the values and standards of the community.

• Involves stalking or unwanted contact;
• Encourages violence or illegal activity;

• Reverse engineers the Service;

Deepdines has no obligation to monitor all communications, profiles, or interactions among users.

Failure to act in response to a complaint does not constitute approval or endorsement of any conduct.

9. Group Formation and Event Logistics

Deepdines organizes group experiences based on information provided by users and other factors.

Group composition, event schedules, restaurant availability, and locations may vary.

Deepdines may modify:

• Group size;
• Event dates;
• Reservation times;
• Participating venues;
• Event logistics.

Event details may be disclosed shortly before the scheduled experience.

Deepdines makes no guarantees regarding:

• Chemistry among participants;
• Conversation quality;
• Social compatibility;
• Friendships;
• Romantic relationships;
• Networking opportunities;
• Overall satisfaction.

The experience of each participant is subjective and may differ.

10. Event Attendance and Community Expectations

Participants are expected to arrive on time and conduct themselves respectfully.

Repeated no-shows, disruptive behavior, intoxication, harassment, inappropriate conduct, or actions that negatively impact the experience of others may result in warnings, suspension, or permanent removal from the Service.

Deepdines reserves the right to remove users from current or future events to protect the integrity of the community.

Attendance at events does not create any obligation on the part of Deepdines or other participants to continue interactions beyond the event itself.

11. Pricing and Payments

Certain features of the Service require payment.

By purchasing an event, membership, subscription, or other paid offering, you agree to pay all fees, taxes, and applicable charges presented at the time of purchase.

Deepdines reserves the right to modify pricing, fees, and available offerings at any time. Price changes will not affect purchases already completed.

You authorize Deepdines and its third-party payment processors to charge your selected payment method for all applicable fees.

You are responsible for maintaining accurate and current billing information.

Deepdines may suspend or terminate access to paid features if payment cannot be successfully processed.

12. Memberships and Subscription Services

Deepdines may offer recurring membership plans, subscription services, or premium features.

Subscription plans may include benefits such as:

Unless otherwise specified, subscriptions automatically renew at the end of each billing cycle.

By subscribing, you authorize recurring charges until cancellation.

You are responsible for canceling subscriptions before the next billing cycle if you no longer wish to continue.

Cancellation prevents future charges but does not entitle you to refunds for previously billed periods.

Except where required by law, subscription payments are non-refundable.

Deepdines reserves the right to modify or discontinue subscription offerings at any time.

13. Promotional Credits, Discounts, and Referral Programs

Deepdines may offer:

Such programs are offered solely at Deepdines' discretion.

Promotional credits:

Deepdines reserves the right to revoke credits or discounts obtained through abuse, fraud, or misuse.

Nothing in these Terms obligates Deepdines to continue offering any promotional program.

14. Cancellation and Refund Policy

ALL BOOKINGS ARE FINAL.

ALL EVENT PURCHASES ARE NON-REFUNDABLE.

Refunds are issued only when Deepdines cancels an event for operational reasons.

No refunds will be provided for:

• Missed events;
• Late arrivals;
• Personal scheduling conflicts;
• Travel issues;
• Illness;
• Dissatisfaction with the experience;
• Participant compatibility concerns;
• Weather conditions;
• Restaurant preferences;
• Personal emergencies;
• Any circumstance outside Deepdines' reasonable control.

Deepdines may, in its sole discretion, issue credits, discounts, or other accommodations as a courtesy.

Such accommodations do not establish any ongoing obligation or precedent.

15. No-Shows and Late Arrivals

Users are responsible for arriving on time.

Deepdines reserves the right to classify participants as no-shows if they fail to appear within a reasonable period following the scheduled start time.

Repeated no-shows or excessive lateness may result in:

• Warnings;
• Temporary suspension;
• Permanent removal from future events;
• Loss of membership privileges.

No-shows do not entitle users to refunds or credits.

16. Restaurants and Third-Party Venues

Deepdines works with independent restaurants and venues.

Deepdines does not own, manage, supervise, or control such businesses.

Deepdines does not guarantee:

• Food quality;
• Service quality;
• Availability;
• Menu options;
• Dietary accommodations;
• Reservation availability;
• Venue accessibility.

Restaurants and venues may change without notice due to operational requirements.

Any issues relating to food, beverages, service, or venue conditions are the responsibility of the applicable third party.

17. Third-Party Services

The Service may rely upon or integrate with third-party providers, including:

• Payment processors;
• Authentication services;
• Restaurants and venues;
• Hosting providers;
• Analytics services;
• Communication platforms;
• Mapping services.

Deepdines does not control third-party services and is not responsible for their performance, actions, errors, availability, or policies.

Your use of third-party services may be subject to separate agreements and policies.

18. User Content

You retain ownership of photographs, profile information, comments, messages, and other content that you submit to the Service.

By providing content, you grant Deepdines a worldwide, royalty-free, transferable, sublicensable, non-exclusive license to:

You grant Deepdines a perpetual, worldwide, royalty-free license to use such materials for:

• Internal business purposes.

You waive any claims relating to approval, compensation, or royalties associated with such usage.

If you prefer not to appear in promotional content, you may notify Deepdines and we will make reasonable efforts to accommodate such requests, although complete exclusion cannot be guaranteed.

20. Messaging and Communications

The Service may provide communication features including:

By using the Service, you consent to receive communications relating to:

Nothing in these Terms guarantees the continued availability of any particular feature.

Deepdines may use automated systems, algorithms, machine learning models, artificial intelligence, or other technologies to facilitate recommendations, group formation, or content presentation.

Such systems are intended to enhance user experiences but are inherently imperfect.

Deepdines does not guarantee:

• Friendships;
• Relationships;
• Social outcomes;
• Satisfaction.

Recommendations generated by automated systems are informational in nature and should not be interpreted as guarantees or professional advice.

Users remain responsible for exercising their own judgment when interacting with others.

are owned by Deepdines or its licensors and are protected under applicable intellectual property laws.

• Conduct or behavior;
• Physical safety;
• Emotional well-being;
• Freedom from harassment, theft, fraud, illness, injury, or misconduct.

Deepdines does not conduct criminal background checks on all users and does not independently verify all representations made by participants.

Users are solely responsible for exercising sound judgment and taking reasonable precautions.

Participation in events and interactions with others occurs entirely at your own risk.

You are solely responsible for:

• Your decisions;
• Transportation;
• Personal belongings;
• Communications;
• Conduct;
• Health and safety.

You voluntarily assume all risks associated with participation in Deepdines events and interactions.

27. User Interactions and Disputes

Users are solely responsible for their interactions with one another.

Deepdines is not responsible for:

• Statements made by participants;
• Personal disagreements;
• Relationship issues;
• Misconduct by users;
• Emotional distress;
• Off-platform interactions;
• Damages arising from communications between users.

Deepdines reserves the right, but not the obligation, to intervene in disputes.

Any dispute between users remains solely between those users.

28. No Guarantee of Compatibility, Friendships, or Relationships

Deepdines is designed to facilitate opportunities for social connection.

Deepdines does not guarantee:

• Compatibility;
• Chemistry;
• Friendships;
• Dating outcomes;
• Romantic relationships;
• Business relationships;
• Networking opportunities;
• Attendance levels;
• Event quality;
• Satisfaction.

Individual experiences are subjective and may vary significantly.

No information, recommendation, or group arrangement should be interpreted as a promise or guarantee.

29. Health and Dietary Disclaimer

Deepdines does not prepare food and does not control restaurant operations.

Users are solely responsible for:

• Allergies;
• Dietary restrictions;
• Medical conditions;
• Food sensitivities;
• Alcohol consumption.

Deepdines makes no guarantees regarding ingredients, preparation methods, cross-contamination risks, or dietary accommodations.

Users should communicate directly with restaurants regarding allergies and dietary concerns.

30. Alcohol Consumption

Certain events may occur at venues that serve alcoholic beverages.

Users are solely responsible for their own consumption of alcohol and compliance with applicable laws.

Deepdines does not encourage excessive drinking and assumes no responsibility for:

• Intoxication;
• Impaired judgment;
• Accidents;
• Injuries;
• Transportation decisions;
• Conduct occurring before, during, or after events.

Users should make responsible decisions and arrange appropriate transportation when necessary.

31. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

DEEPDINES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• AVAILABILITY.

DEEPDINES DOES NOT WARRANT THAT:

• THE SERVICE WILL BE ERROR-FREE;
• EVENTS WILL MEET EXPECTATIONS;
• PARTICIPANTS WILL ACT APPROPRIATELY;
• RESULTS WILL BE ACHIEVED;
• THE SERVICE WILL ALWAYS BE AVAILABLE;
• DEFECTS WILL BE CORRECTED.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

32. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPDINES, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• SPECIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST REVENUE;
• LOST DATA;
• LOSS OF GOODWILL;
• PERSONAL DISPUTES;
• USER MISCONDUCT;
• PROPERTY DAMAGE;
• EMOTIONAL DISTRESS;
• PERSONAL INJURY;
• DEATH;
• DAMAGES ARISING FROM THIRD-PARTY SERVICES;
• DAMAGES ARISING FROM RESTAURANTS OR VENUES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.

IN NO EVENT SHALL DEEPDINES' TOTAL LIABILITY EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT PAID BY YOU TO DEEPDINES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY.

33. Release of Claims

To the fullest extent permitted by law, you release Deepdines and its affiliates, officers, managers, employees, and agents from claims arising out of:

• Interactions with other users;
• Participation in events;
• Restaurants and venues;
• Personal disputes;
• Injuries;
• Property damage;
• Theft;
• Emotional distress;
• User conduct.

If you are a resident of a jurisdiction that restricts such releases, this provision shall apply to the maximum extent permitted by law.

34. Indemnification

You agree to defend, indemnify, and hold harmless Deepdines and its affiliates, officers, directors, employees, contractors, managers, agents, successors, and assigns from any claims, liabilities, damages, losses, judgments, costs, expenses, and attorneys' fees arising from:

• Your use of the Service;
• Your conduct;
• Your interactions with other users;
• Your violation of these Terms;
• Your violation of applicable laws;
• Your infringement of third-party rights.

Deepdines reserves the right to assume exclusive control of the defense of any matter subject to indemnification.

You agree to cooperate fully in such defense.

Deepdines shall not be liable for delays, interruptions, or failures resulting from causes beyond its reasonable control, including:

• Internet failures;
• Labor disputes;
• Government actions;
• Civil unrest;
• Terrorism;
• Restaurant closures;
• Supply shortages;
• Transportation disruptions.

Performance shall be suspended for the duration of such events without liability.

36. Service Availability

Deepdines does not guarantee uninterrupted access to the Service.

The Service may experience:

• Maintenance periods;
• Technical failures;
• Software bugs;
• Connectivity interruptions;
• Feature modifications.

Deepdines may suspend or discontinue portions of the Service at any time without liability.

Users acknowledge that temporary interruptions are inherent in internet-based services.

37. Suspension and Termination

Deepdines reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Service at any time and for any reason, including but not limited to:

• Violations of these Terms;
• Community safety concerns;
• Fraudulent activity;
• Chargebacks or payment abuse;
• Harassment or misconduct;
• Illegal activity;
• Protection of users or the integrity of the Service;
• Compliance with legal obligations.

Deepdines may remove users from individual events or permanently prohibit future participation.

Termination does not relieve users of obligations incurred before termination.

Sections intended to survive termination shall remain in effect following termination.

38. Account Deletion and Data Retention

You may discontinue using the Service and request deletion of your account at any time.

Deepdines may retain certain information:

• To comply with legal obligations;
• To resolve disputes;
• To enforce these Terms;
• To detect fraud or abuse;
• For legitimate business purposes.

Residual copies of information may remain in backup systems for a reasonable period.

Deletion of an account does not automatically eliminate all previously shared information or content that has already been lawfully used or distributed in accordance with these Terms.

Deepdines continuously evolves and may:

• Remove existing features;
• Modify functionality;
• Change pricing;
• Suspend portions of the Service;
• Discontinue offerings.

Deepdines is under no obligation to maintain any specific functionality or feature.

Deepdines shall not be liable for any modification, interruption, or discontinuation of the Service.

40. Changes to These Terms

Deepdines reserves the right to update these Terms at any time.

Updated Terms may be posted on the website, application, or otherwise communicated to users.

Continued use of the Service following the effective date of revised Terms constitutes acceptance of the updated Terms.

If you do not agree to revised Terms, your sole remedy is to discontinue use of the Service.

41. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY BECAUSE IT AFFECTS YOUR LEGAL RIGHTS.

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration rather than in court.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable rules.

Arbitration shall take place in New York, New York, unless otherwise required by law.

The arbitrator shall have exclusive authority to resolve disputes relating to:

• Enforceability of these Terms;
• Scope of arbitration;
• Claims arising from use of the Service.

Judgment upon an arbitration award may be entered in any court having jurisdiction.

Nothing in this section prevents either party from seeking temporary injunctive relief to protect intellectual property rights or prevent irreparable harm.

42. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND DEEPDINES AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN:

• CLASS ACTIONS;
• REPRESENTATIVE ACTIONS;
• CONSOLIDATED PROCEEDINGS;
• PRIVATE ATTORNEY GENERAL ACTIONS.

THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MULTIPLE INDIVIDUALS.

IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THE ARBITRATION PROVISION SHALL BE DEEMED NULL TO THE EXTENT REQUIRED BY LAW.

43. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

Subject to the arbitration provisions above, any proceedings that are permitted to proceed in court shall be brought exclusively in the state or federal courts located in New York, New York.

You consent to the jurisdiction and venue of such courts.

44. Electronic Communications and Signatures

By using the Service, you consent to receive communications electronically.

You agree that:

• Electronic notices satisfy legal notice requirements;
• Electronic records are legally binding;
• Electronic signatures carry the same force and effect as handwritten signatures.

45. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Deepdines.

Deepdines may assign or transfer these Terms without restriction in connection with:

• Reorganization;
• Sale of assets;
